INVITATION to the shareholders of the Societe Anonyme under the name “PRIVATE POLYCLINIC OF EASTERN THESSALONIKI MEDICAL SOCIETE ANONYME” GEMI No.: 141237704000, Tax ID: 800797807<\/strong><\/p>\n\n

to an Annual General Meeting<\/strong><\/p>\n\n

In accordance with the law and the company’s articles of association, the shareholders of the Societe Anonyme under the name “PRIVATE POLYCLINIC OF EASTERN THESSALONIKI MEDICAL SOCIETE ANONYME” and the trade name “EURODIAGNOSI” are hereby invited to an Annual General Meeting on July 22, 2026, Wednesday, at 15:00, at the Company’s branch located in Kalamaria, Thessaloniki, at 1 Adrianoupoleos Street, PC 55133, to discuss and decide on the following agenda items:<\/p>\n\n

AGENDA ITEMS<\/strong><\/p>\n\n

  1. Submission and approval of the Annual Financial Statements for the fiscal year 2025, together with the relevant reports of the Board of Directors and the Certified Auditors for the same period.<\/li>\n\n\n\n
  2. Approval of the overall management for the fiscal year 2025 in accordance with Article 108 of Law 4548\/2018. 4548\/2018.<\/li>\n\n\n\n
  3. Discharge of the Certified Auditors from any liability in accordance with Article 117, paragraph 1c of Law 4548\/2018. 4548\/2018.<\/li>\n\n\n\n
  4. Election of one regular certified auditor and one alternate for the fiscal year 2026.<\/li>\n\n\n\n
  5. Other matters or announcements.<\/li>\n<\/ol>\n\n

    All shareholders who hold and can prove their shareholder status on the day of the General Meeting are entitled to participate in the proceedings of the Annual General Meeting. Proof of shareholder status may be established, indicatively and not restrictively, through registration in the shareholders’ register, by presenting share certificates, or by presenting a shareholder certificate issued by the Company dated no earlier than 20 days before the date of the General Meeting. <\/p>\n\n

    Shareholders that are legal entities participate in the General Meeting through their representatives.<\/p>\n\n

    The appointment, revocation, or replacement of a shareholder’s representative or proxy shall be made in writing or by electronic means and submitted to the company no later than before the commencement of the General Meeting proceedings.<\/p>\n\n
